General - Scope of application<\/h3>\n<p><strong>1.1.<\/strong> In accordance with article L.441-6 of the French Commercial Code, the present General Terms and Conditions of Sale (GTCS) constitute the sole basis of the commercial relationship between the parties.<\/p>\n<p>The purpose of these terms and conditions is to define the conditions under which SOFRALAB, a SAS with a capital of 1,315,600 euros, registered in the Reims Trade and Companies Register under the number Siret 572 224 863 00041, having its registered office at 79, avenue A.A. Th\u00e9venet - 51530 MAGENTA, (\"The Supplier\") provides professional buyers (\"The buyers\" or \"The buyer\") who request it, via the supplier's website, by direct contact, or via paper support, with the products it manufactures and\/or distributes.<\/p>\n<p>These General Terms and Conditions of Sale apply without restriction to all sales of products concluded by the supplier, to the exclusion of all others, and take precedence over the buyer's general terms and conditions of purchase.<\/p>\n<p>These General Conditions of Sale are made known to customers in the following ways:<\/p>\n<ul>\n<li>with the annual tariffs, where applicable,<\/li>\n<li>upon order confirmation<\/li>\n<li>upon request<\/li>\n<li>on the company\u2019s websites: <a href=\"http:\/\/www.sofralab.com\">www.sofralab.com<\/a>, <a href=\"http:\/\/www.oenotechnic.com\">www.oenotechnic.com<\/a>, <a href=\"http:\/\/www.oenofrance.com\">www.oenofrance.com<\/a>, <a href=\"http:\/\/www.soec.oenodrive.com\">www.soec.oenodrive.com<\/a> and <a href=\"http:\/\/www.martinvialatte.com\">www.martinvialatte.com<\/a><\/li>\n<\/ul>\n<p>They are systematically communicated to any customer who requests them, as well as to any buyer prior to placing an order.<\/p>\n<strong>1.2.<\/strong> Any order of products implies, on the part of the buyer, the acceptance of the present General Terms and Conditions of Sale and of the general terms of use of the supplier's website for electronic orders.<br \/>\nPlacing an order implies unreserved acceptance of these General Conditions of Sale.\n<p>The General Terms and Conditions of Sale, together with the order, form the entire contract between the supplier and the buyer.<\/p>\n<p><strong>1.3.<\/strong> The information appearing in the supplier's catalogues, prospectuses and price lists is given for information only and may be revised at any time. The supplier is entitled to make any changes that it deems useful.<\/p>\n<h3>2. Orders<\/h3>\n<p><strong>2.1.<\/strong> Any order addressed to the supplier shall be deemed to have been placed in accordance with these General Conditions of Sale, unless expressly stipulated otherwise in writing and accepted by the supplier.<\/p>\n<strong>2.2.<\/strong> Orders may be placed by telephone, e-mail or postal service.<br \/>\nAll orders, including orders placed directly, or through a representative or sales agent, only become firm and definitive after acceptance and confirmation by e-mail by the supplier, within a period of 2 days, from the receipt of the request.\n<p>An order not confirmed by the supplier shall not be binding on the supplier.<\/p>\n<strong>2.3.<\/strong> For orders placed exclusively on the internet, the registration of an order on the supplier's site is carried out when the buyer accepts the General Terms and Conditions of Sale, by ticking the box provided for this purpose, and validates his order.<br \/>\nThis validation implies acceptance of the entirety of these General Terms and Conditions of Sale and constitutes proof of the sales contract. The taking into account of the order and its acceptance are confirmed by the sending of an e-mail.\n<p>The data recorded in the supplier's computer system constitutes proof of all transactions concluded with the buyer.<\/p>\n<h3>3. Transport - Delivery<\/h3>\n<p><strong>3.1.<\/strong> The delivery times as well as the transport times are given as an indication, and do not constitute any commitment on the part of the supplier. The supplier's liability shall in no case be engaged in the event of delay or suspension of the delivery attributable to the buyer or in the event of force majeure.<\/p>\n<p><strong>3.2.<\/strong> In the event of delivery to a warehouse, this must be easily accessible without danger or risk. The supplier cannot be held liable for any damage caused by the transport vehicle as a result of difficult access and\/or unsuitable terrain.<\/p>\n<p><strong>3.3.<\/strong> Risks:<\/p>\n<ul>\n<li>The products travel at the risk of the buyer, who is responsible, in the event of damage, loss or shortage, for making any reservations or exercising any recourse with the carriers responsible. The buyer also assumes the cost and risk of unloading the goods.<\/li>\n<li>The buyer is required to check the apparent condition of the products upon delivery, and in particular the good condition, the number of packages, the weight, etc... In the absence of reservations expressly made by the buyer upon delivery, the products delivered by the supplier shall be deemed to be in conformity in quantity and quality with the order.<\/li>\n<li>The purchaser shall have a period of 48 hours from the date of delivery and receipt of the products to express such reservations in writing to the Supplier. No claim shall be validly accepted in the event of non-compliance with these formalities and in particular with the aforementioned deadline by the purchaser.<br \/>\nThe supplier shall replace as soon as possible, and at its own expense, the delivered products whose lack of conformity has been duly proven by the buyer. The purchaser must return the products or goods that he has refused, in their original packaging or container.<\/li>\n<\/ul>\n<h3>4. Packaging<\/h3>\n<p>The packaging is prepared by the supplier according to the goods, and in the interest of the buyer.<\/p>\n<h3>5. Payment terms and conditions<\/h3>\n<strong>5.1.<\/strong> Invoices are issued on the day the order is dispatched or at the latest at the end of the month.<br \/>\nUnless otherwise expressly stated in the offers\/proposals and duly accepted by the supplier in the order confirmation, the prices of the supplier's products\/goods are payable within 30 days end of the month. Payments are portable and must be made at the supplier's registered office, regardless of the method and place of delivery. No discount will be applied in case of early payment. Products\/goods purchased directly from the supplier's head office and\/or from one of its establishments or warehouses are payable in cash.\n<strong>5.2.<\/strong> In accordance with the provisions of Article L 441-6 of the French Commercial Code, in the event of non-payment on the day following the payment deadline, late payment penalties set at three (3) times the legal interest rate plus 3 points on the amount inclusive of tax of the invoice drawn up by the supplier shall be applied automatically, without any formality or prior notice.<br \/>\nExcept with the express, prior and written agreement of the supplier and on the condition that the reciprocal claims and debts are certain, liquid and payable, no compensation may validly be carried out between any penalties for delay in delivery or non-conformity of the products ordered by the purchaser on the one hand, and the sums owed by the latter to the supplier, in respect of the purchase of the said products, on the other.\n<p>In addition, a fixed compensation for collection costs of 40 euros shall be payable by the purchaser by operation of law and without prior notification in the event of late payment.<\/p>\n<p><strong>5.3.<\/strong> In the event of late payment, the supplier also reserves the right to:<\/p>\n<ul>\n<li>demand immediate payment of all outstanding amounts on any invoice issued by the supplier;<\/li>\n<li>demand payment at the time future orders are placed;<\/li>\n<li>to suspend or cancel all outstanding orders, to demand any guarantee, and\/or to suspend the performance of its own obligations, without the Buyer being able to oppose any right of retention or compensation whatsoever, and without prejudice to any other remedy.<\/li>\n<\/ul>\n<p>The supplier may retain payments already received as damages.<\/p>\n<h3>6. Transfer of ownership<\/h3>\n<p><strong>6.1.<\/strong> The supplier retains ownership of the products sold until full payment of the price, in principal and accessories. The transfer of ownership to the purchaser shall only take place after effective and complete collection of the agreed price in full.<\/p>\n<p><strong>6.2.<\/strong> The supplier reserves the right to reclaim the products - or the price of the products - sold and unpaid.<\/p>\n<h3>7. Quality - Guarantee<\/h3>\n<p><strong>7.1.<\/strong> The supplier guarantees that the products comply with the stipulations of the contract. It reserves the right to change product specifications if required by applicable laws and regulations.<\/p>\n<p><strong>7.2.<\/strong> In accordance with the legal provisions, the supplier guarantees the purchaser against any lack of conformity and any hidden defect, resulting from a design defect of the product, to the exclusion of any negligence or fault of the purchaser.<\/p>\n<p><strong>7.3.<\/strong> The buyer must inform the supplier of any possible non-conformity or defect affecting the product, which does not constitute an apparent defect, within a short period of time, and at the latest within 8 days of the discovery of the defect. Each complaint must contain the precise reasons for the non-conformity and\/or defect.<\/p>\n<p>The supplier will have the products examined or will examine them jointly with the buyer. If the supplier accepts the non-conformity or the defect, the supplier shall replace the products. These provisions shall only apply if the purchaser has complied with the conditions and obligations set out in Article 5 of these General Terms and Conditions of Sale.<\/p>\n<p><strong>7.4<\/strong>. The transfer to the buyer of the risks of loss and deterioration of the products will be carried out upon delivery and receipt of said products, independently of the transfer of ownership. It is therefore the responsibility of the buyer to insure the products against the risks that they may either incur or cause.<\/p>\n<p><strong>7.5.<\/strong> The supplier draws the attention of the purchaser to the conditions relating to the storage and warehousing of the goods sold, of which he is fully aware. Consequently, no guarantee shall be granted by the supplier in the event of non-compliance by the buyer with the conditions relating to storage and warehousing. The same applies in the event of misuse or negligence on the part of the buyer, as well as in the event of force majeure.<\/p>\n<p><strong>7.6.<\/strong> No claims will be accepted after a period of 24 months from the delivery of the product.<\/p>\n<h3>8. Limitation of liability<\/h3>\n<p><strong>8.1.<\/strong> The supplier's liability can only be incurred in the event of proven fault or negligence and is limited to direct damage, to the exclusion of any indirect damage of any kind.<\/p>\n<p><strong>8.2.<\/strong> In particular, the supplier shall not be liable to the purchaser for the following losses:<\/p>\n<strong>a)<\/strong> Property damage, other than to the products sold;<br \/>\n<strong>b)<\/strong> Intangible damage, including costs, expenses, fees (including legal fees), downtime, loss of profit, loss of production, non-consecutive intangible delays, etc., which result directly or indirectly from the following\n<ul>\n<li>Damage suffered as a result of the products sold;<\/li>\n<li>Damage resulting from defective or excessive use of the products sold;<\/li>\n<li>Damage resulting from the use of inappropriate means of exploration.<\/li>\n<\/ul>\n<p><strong>8.3.<\/strong> If the supplier's liability is accepted, its guarantee shall, in any event, be limited to the amount paid by the buyer for the purchase of the products, exclusive of tax.<\/p>\n<h3>9. Intellectual property<\/h3>\n<p>The supplier is the owner, personally and\/or through the intermediary of companies he represents, of a number of trademarks, trade names, distinctive signs, logos, etc.<\/p>\n<p>The buyer is expressly forbidden to mention or use the brands, trade names, distinctive signs, logos, registered by the supplier and\/or by suppliers he represents, without his express written consent.<\/p>\n<p>In the event of breach of this prohibition, the Supplier will take legal action.<\/p>\n<h3>10. Major force<\/h3>\n<p>The supplier's liability may in no case be implemented if the non-performance or delay in the performance of one of its obligations described in these General Terms and Conditions of Sale results from a case of force majeure, within the meaning of Article 1218 of the Civil Code.<\/p>\n<h3>11. Protection of personal data<\/h3>\n<p>The personal information collected by the supplier (such as name, telephone number, e-mail address or bank details) is recorded in its customer file and used for the proper management of commercial relations with the customer and the processing of his orders. They may also be used in the context of mailings within a maximum period of 3 years after the last commercial contact.<\/p>\n<p>The personal data collected will be kept for as long as legally required.<\/p>\n<p>Access to personal data is strictly limited to the supplier's employees and agents who are authorised to process them by virtue of their functions. The information collected may be communicated to third parties linked to the company by contract for the execution of subcontracted tasks necessary for the management of the order, without the customer's authorisation being necessary. It is specified that, within the framework of the execution of their services, the third parties have only limited access to the data and have a contractual obligation to use them in compliance with the provisions of the applicable legislation on the protection of personal data.<\/p>\n<p>Apart from the cases set out above, the supplier undertakes not to sell, rent, transfer or give access to third parties to the data without the customer's prior consent, unless forced to do so for a legitimate reason (legal obligation, fight against fraud or abuse, etc.)<\/p>\n<p>In accordance with the applicable legal and regulatory provisions, in particular Act No. 78-17 of 6 January 1978 as amended relating to data processing, files and freedoms and European Regulation No. 2016\/679\/EU of 27 April 2016, the customer has the right to access, rectify, portability and deletion of his or her data or to limit the processing. Applicable Law - Disputes<\/h3>\n<p><strong>12.1.<\/strong> These General Terms and Conditions of Sale are subject to French law, to the exclusion of any other law.<\/p>\n<p><strong>12.2.<\/strong> Any dispute relating to the interpretation or performance of any of the obligations set out in these General Terms and Conditions of Sale shall be brought before the competent courts within the jurisdiction of the supplier's registered office, which shall have sole jurisdiction, regardless of the place of delivery and the method of payment, and even in the event of multiple defendants or third-party proceedings.<\/p>","protected":false},"excerpt":{"rendered":"<p>1.
